Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DiffChecker Pro ("Company," "we," "us," or "our") governing your access to and use of the website located at https://diffchecker.pro and all associated services, tools, APIs, and software (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree, you must immediately cease all use of the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. Acceptance of Terms

These Terms are effective as of the date you first access or use the Service. We reserve the right to update or modify these Terms at any time. When we make material changes, we will provide at least 14 days' notice via email and/or a prominent in-app notice. Your continued use of the Service after the effective date of any amendment constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, and Refund Policy, each of which is an integral part of this agreement.

2. Description of Services

DiffChecker Pro provides browser-based tools for comparing text, source code, JSON, XML, YAML, CSV, Excel spreadsheets, images, PDFs, Word documents, and other data formats. The Service includes both free-tier tools and premium features available through paid subscription plans ("Pro" and "Team"). We also offer an AI-powered analysis feature that uses large language models to summarise and explain differences.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, though we will endeavour to provide reasonable advance notice of significant changes. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To access certain features, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@diffchecker.pro of any unauthorised use of your account or any other security breach.

You may not: (a) use another person's account without permission; (b) register more than one Free account per person; (c) register an account using automated means or under a false identity; or (d) sell, transfer, or sublicense access to your account. We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion.

You must be at least 16 years old to create an account. By registering, you confirm that you meet this age requirement.

4. Subscription Plans and Payments

4.1 Plans and Pricing

We offer the following subscription tiers: Free (limited features, no charge), Pro (individual power users, billed monthly or annually), and Team (collaborative features, per-seat billing). Current pricing is listed on our pricing page and is subject to change with 30 days' notice to existing subscribers.

4.2 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual cycle, depending on your selection at checkout. Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. Cancellation takes effect at the end of the current paid period — you retain access to paid features until then. No partial-period refunds are issued upon cancellation, except as provided in our Refund Policy.

4.3 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorise us to charge your payment method for all amounts due. You represent that the payment information you provide is accurate and that you are authorised to use the payment method. We reserve the right to suspend or terminate your access if payment is declined and not cured within 5 business days.

4.4 Taxes

Prices are exclusive of applicable taxes (including VAT, GST, and sales tax) unless otherwise stated. You are responsible for all taxes, duties, and levies imposed by governmental authorities on your subscription.

5. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property rights and privacy rights.
  • Transmit any content that is unlawful, harmful, defamatory, obscene, fraudulent, or otherwise objectionable.
  • Upload, compare, or process data containing malware, viruses, trojan horses, or other malicious code.
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or our underlying infrastructure.
  • Scrape, crawl, or systematically extract data from the Service using automated means without our prior written consent.
  • Circumvent, disable, or otherwise interfere with security-related features, rate limits, or access controls.
  • Reverse-engineer, decompile, or disassemble any software component of the Service.
  • Use the Service to provide a competing product or service, or to benchmark against competitors, without our prior written permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Process personal data of third parties through the Service in violation of applicable data protection law.

Violation of these prohibitions may result in immediate termination of your account and, where warranted, referral to law enforcement authorities.

6. Intellectual Property

6.1 Our IP

The Service, including its design, code, algorithms, trademarks, logos, and all content created by us, is owned by DiffChecker Pro and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our IP except the limited right to use the Service as expressly provided herein.

6.2 Your Content

You retain all intellectual property rights in content you submit to the Service. By using the "Save & Share" feature, you grant DiffChecker Pro a non-exclusive, worldwide, royalty-free licence to store, reproduce, and display that content solely as necessary to provide the Service. This licence terminates when you delete the content or close your account. We will never use your content for any other purpose, including training AI models, without your explicit written consent.

6.3 Feedback

If you submit ideas, suggestions, or feedback ("Feedback") to us, you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without compensation or attribution to you.

7. Disclaimers and No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service or the servers on which it runs are free of viruses or other harmful components; or (d) the results obtained from use of the Service will be accurate or reliable. 8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIFFCHECKER PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to us in the 12 months immediately preceding the claim; or (b) USD $50.00. These limitations apply even if we have been advised of the possibility of such damages and regardless of the theory of liability.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless DiffChecker Pro and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you submit through the Service.

10. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Service shall be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. For users in the European Union, nothing in this clause affects your rights under mandatory local consumer protection law.

Before initiating any formal dispute resolution, you agree to first contact us at legal@diffchecker.pro and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may pursue the remedies available in the applicable courts. For claims under $10,000, you agree to resolve disputes via binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in Delaware, unless you opt out by emailing us within 30 days of account creation.

11. Termination

Either party may terminate these Terms at any time. You may terminate by closing your account through the account settings page. We may terminate or suspend your access immediately, without notice, for material breach of these Terms, non-payment, or if required by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 7, 8, 9, 10) shall survive.

12. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and DiffChecker Pro regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
